Affiliates Agreement

Preamble

This document constitutes a legal agreement ("Agreement") between you ("Affiliate") and Astrid Ecosystems LLC, the owner and operator of Astrid AI ("Company"). By participating in the Affiliate Program, you agree to be bound by these terms and conditions.

Eligibility and Enrollment

Affiliate Qualification

To qualify for the Affiliate Program, potential affiliates must visit an affiliated bot, details of which are available on the Company’s website, astridai.co. Affiliates must complete a mandatory trial period, which involves content creation using the bot.

Enrollment Procedure

Following the trial, affiliates may enroll in the program by navigating to the 'Affiliates' button at the /start command of the bot and following the onboarding instructions detailed on the Affiliates Onboarding page.

Affiliate Identity Requirements

Content Standards

Affiliates are required to maintain professional standards in naming, describing, and presenting their affiliated entity. Names, descriptions, or avatars that contain explicit content, NSFW material, or other inappropriate elements are expressly prohibited.

Compliance with Branding Guidelines

Affiliates must comply with all branding guidelines as provided by the Company, ensuring that their representation aligns with the Company’s image and reputation.

Data Reporting and Accuracy

Provision of Data

The Company may provide affiliates with performance data, such as new user metrics, conversion rates, and user engagement statistics. This data is provided at the Company's discretion and is intended for optimizing affiliate performance.

Data Accuracy Disclaimer

The Company does not guarantee the accuracy or completeness of the data provided. Such data is subject to change and may be periodically adjusted. Selected affiliates may receive more detailed data as determined by the Company.

User Attribution and Revenue Recognition

Permanence of User Attribution

Once a user accesses the Company's services through an affiliate’s bot, they are permanently attributed to that affiliate, ensuring ongoing revenue share from transactions made by the user, regardless of their interaction with other affiliated services.

Continuity of Data Post-Bot Deletion

In the event of a bot’s deletion by Telegram or any other platform, all associated user and transaction data are retained by the Company. Affiliates may request this data be transferred to another operational bot.

Revenue Share and Compensation

Revenue Share Calculation

Affiliates earn a percentage of net income generated from users they recruit, after deducting applicable service fees charged by payment providers, which range from 5% to 20%.

Pricing Variability

The price for credits may vary based on geographical and economic factors. The Company will determine the specific revenue share and inform the affiliate of these terms.

Compensation Form

Compensation to affiliates is issued in the form of credits, not monetary currency. Credits can be used within the service or withdrawn according to the payout terms.

Payout Terms

Minimum Payout

The minimum payout threshold is set at $30, subject to adjustments by the Company.

Payout Conditions

Payouts are processed weekly, provided the affiliate’s wallet setup is correct and the balance meets the minimum threshold. Failure to meet these conditions may result in deferred payouts.

Operational Restrictions

Prohibited Activities

Affiliates are prohibited from offering additional goods or services under the guise of the bot or the Company, using different software in the same bot, or engaging in any activity that could be deemed as misrepresenting the Company’s offerings.

Termination and Consequences

Right to Terminate

The Company reserves the right to terminate an affiliate’s participation in the program at any time without prior notice for any breach of this Agreement or other operational policies.

Holding of Credits

Post-termination, any accumulated credits may be held for a period of up to 180 days during which an investigation may occur to determine any fraudulent or inappropriate actions by the affiliate.

Legal Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the state of New Mexico, without regard to its conflict of law principles. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located within the state of New Mexico.

By enrolling and participating in the Astrid AI Affiliate Program, you affirm that you have read, understood, and agreed to comply with all the terms outlined in this Agreement. Failure to adhere to these terms can result in immediate termination from the program and forfeiture of any pending compensations.
